SPHERE LLC values the privacy and confidentiality of the agents and entities that we work with. Please read the following acknowledgements.
SPHERE LLC agrees to service the Agent/Entity in such capacity as designated by the Agent/Entity until the working agreement is terminated as agreed upon. SPHERE LLC will observe all Agent/Entity communicated policies and procedures. Real Estate By Sphere shall operate in the best efforts to the successful operation of Agent/Entity business and shall, at all times, act so as to reflect favorably upon the Agent/Entity. Agent/Entity agrees to compensate and provide compensation at such rates agreed upon.
Acknowledgement of Confidentiality. SPHERE LLC acknowledges that Agent/Entity business and services are highly specialized and Real Estate by Sphere will thereby be privy to certain "Confidential Information" during the term of working agreement. SPHERE LLC acknowledges that Confidential Information shall include, but is not limited to, the identity and needs of Agent/Entity customers and suppliers; documents and information regarding Agent/Entity customers, suppliers, services, methods of operation, sales, pricing and costs; Agent/Entity present or future business methods, trade secrets, technologies, product features, finances, legal matters, marketing strategies, business plans or pricing.
Covenant against Disclosure of Confidential Information. During and after the working agreement, SPHERE LLC shall not, for any reason whatsoever, use for any purpose or disclose to any person or entity any Confidential Information acquired during the course of contract with the Agent/Entity. SPHERE LLC shall not, directly or indirectly, copy, take or remove from the Agent/Entity premises any such Confidential Information of Agent/Entity upon termination of working agreement. Upon termination of working agreement with the Agent/Entity, whether voluntary or involuntary, SPHERE LLC shall return to the Agent/Entity all of its property of which the SPHERE LLC had custody. SPHERE LLC shall also deliver to the Agent/Entity any and all records and documentation.
Survival. SPHERE LLC's obligations shall survive the termination of a working agreement, regardless of the manner of termination or the reason for termination, and shall be binding.
Governing Law. SPHERE LLC shall be governed by and construed in accordance with the laws of the State of Colorado.
